These Terms of Use (“Terms”) govern access to and use of the website located at fomraworks.com (the “Site”) and all related content, features, and services (collectively, the “Services”).
By accessing or using the Site, you agree to be legally bound by these Terms. Your continued use constitutes electronic acceptance and has the same legal effect as a signed written agreement.
If you do not agree, do not use the Site.
These Terms govern Site use only. Any purchase of products or services is governed exclusively by separate written Terms and Conditions of Sale.
The Site is intended for informational and commercial evaluation purposes by architects, designers, contractors, developers, and property owners.
Nothing on the Site constitutes a retail offer, binding quotation, or consumer guarantee.
Fomra may update these Terms at any time. Updated Terms become effective upon posting. Continued use after posting constitutes acceptance of the revised Terms.
Fomra grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for lawful informational purposes only.
You may not:

Access to the Site does not grant ownership or license rights beyond limited viewing.
Unauthorized use, reproduction, or imitation of Fomra’s designs or systems may result in legal action.
You acknowledge that misuse of intellectual property may cause irreparable harm and that Fomra may seek injunctive or equitable relief in addition to damages.
Information on the Site is provided for general informational purposes only.
Nothing on the Site constitutes:

[c] Installation supervision
[d] Code compliance certification
[e] Binding specifications
[f] Contractual guarantees
You acknowledge that you are not relying on Site content as professional, technical, or contractual advice.
All project specifications are governed exclusively by written agreements and approved documentation under Fomra’s Terms and Conditions of Sale.
Information submitted through the Site must be accurate and lawful.
Submissions are non-confidential unless otherwise agreed in writing.
Fomra is not obligated to respond to or pursue any inquiry.
The Site may contain links to third-party websites. Fomra does not control or endorse third-party content and assumes no responsibility for such sites.
Accessing external sites is at your own risk.
The Site and Services are provided “as is” and “as available.”
To the maximum extent permitted by law, Fomra disclaims all warranties, express or implied, including merchantability, fitness for purpose, accuracy, non-infringement, and uninterrupted operation.
Fomra does not warrant that the Site will be secure, error-free, or free of harmful components.
To the maximum extent permitted by law, Fomra and its directors, officers, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages arising from or relating to Site use.
This includes claims based in contract, tort (including negligence), strict liability, statute, misrepresentation, equity, or otherwise.
Because access to the Site is provided without charge, you agree that this allocation of risk is reasonable.
Total aggregate liability arising from Site use shall not exceed the greater of:
(a) CAD $100; or
(b) any amount paid by you, if any, to access the Site.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
You agree to indemnify and hold harmless Fomra from any claims, losses, damages, and expenses arising from your misuse of the Site or breach of these Terms.
The Site is operated from Canada. Access from other jurisdictions is at your own initiative.
You agree to comply with all applicable export, import, and trade laws.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms.
Any dispute arising out of or relating to the Site or these Terms shall be resolved exclusively by binding arbitration seated in Vancouver, British Columbia, Canada.
Arbitration shall:
[a] Be conducted in English
[b] Be administered under recognized arbitration rules
[c] Be conducted on an individual basis only
[d] Not permit class, collective, or representative claims
You waive any right to participate in a class action or jury trial.
Judgment on an arbitration award may be entered in any court of competent jurisdiction.
These Terms are governed exclusively by the laws of the Province of British Columbia and applicable Canadian federal law, without regard to conflict of laws principles.
Sections relating to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Arbitration, and Governing Law survive termination of Site use.
Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement regarding Site use.
Severability: If any provision is unenforceable, the remainder remains in effect.
No Waiver: Failure to enforce a provision does not waive it.
Assignment: You may not assign these Terms without written consent. Fomra may assign freely.
Force Majeure: Fomra is not liable for delays caused by events beyond reasonable control.
